Welcome to the Wyndham Rewards Experiences website (the "Website"). These Terms and Conditions apply to the Website (experiences.wyndhamrewards.com), mobile applications relating to this Website and related services. You agree that your use of this Website regardless of how accessed signifies that you have read and agree with these Terms and Conditions, the Wyndham Rewards® Program Terms and Conditions, Wyndham Hotels Terms of Use (Web Services User Agreement) and the Wyndham Hotels Privacy Notice (all of which are expressly incorporated herein), as the same may be modified by us from time to time, as well as any terms and conditions separately established by any third party partner or supplier.

THESE TERMS AND CONDITIONS AND THE WYNDHAM HOTELS TERMS OF USE CONTAIN PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO WAIVE CERTAIN RIGHTS AND REMEDIES.

Additional terms and conditions may apply to some of the Wyndham Rewards experiences that we offer. You agree to abide by such other terms and conditions. If you are dissatisfied with these Terms and Conditions, the Wyndham Hotels Terms of Use and the other terms referenced herein, your sole and exclusive remedy is to discontinue using the Website.

General

Wyndham Rewards Experiences is a redemption platform which allows Wyndham Rewards members ("Members") to redeem their Wyndham Rewards points for tickets and unique experiences through the Website. For purposes of the Wyndham Rewards Experiences program, a "Wyndham Rewards experience" is any item, event, experience, digital experience, or travel that is offered for "Bid Now" or "Redeem Now" on the Website. The "Bid Now" feature gives Members using the Website an opportunity to place competing bids, in the form of Wyndham Rewards points, for various Wyndham Rewards experiences that are specifically designated for this feature. The Member with the winning bid is awarded the Wyndham Rewards experience upon redemption of the requisite number of points from their Wyndham Rewards account. The "Redeem Now" feature allows a Member to claim a Wyndham Rewards experience that has a "Redeem Now" designation by directly redeeming the points needed as published on the Website. Additional details of the Bid Now and Redeem Now features are provided below in these Terms and Conditions and on the Website. The Wyndham Rewards Experiences program and the Website may be administered by Wyndham (as defined below) or a third party service provider under contract with Wyndham.

Third-Party Terms and Conditions

Many Wyndham Rewards experiences are provided by or in partnership with third-party partners and suppliers who separately establish terms and conditions for the experiences they supply. By redeeming Wyndham Rewards points for these experiences, you acknowledge and agree to independently access and review, and to be bound by, any additional terms and conditions established by these third-party partners and suppliers. Such third-party terms and conditions may include, but are not limited to, cancellation policies, liability waivers, participation requirements, and other restrictions specific to the experience. Third-party providers may change or modify their terms and conditions at their sole discretion. You acknowledge and agree that Wyndham (as defined below) is not responsible for enforcing or interpreting, and will have no liability in connection with, any such third-party terms and conditions.

Program & Eligibility

• You must be a Member in good standing to bid or redeem an experience in the Wyndham Rewards Experiences program.
• Wyndham reserves the right to disqualify any Member who tampers with or abuses any aspect of the Wyndham Rewards Experiences program, or who fails to comply with any of these Terms and Conditions.
• Residents of Quebec are not currently eligible to bid or redeem experiences within the Wyndham Rewards Experiences program.

Experiences

• Wyndham Rewards experiences are limited and are only available on a first-come, first-served basis while supplies last. No substitutions or rain checks will be permitted.
• Details about each experience, including any age restrictions, blackout dates, expiration dates and other specific terms and conditions, can be found on the experience detail page.
• Wyndham reserves the right to correct any typographical errors or to make changes, corrections or improvements to an experience at any time without notice.
• Wyndham reserves the right to adjust quantities (including after a redemption has been processed) and to revise, suspend or terminate an experience at any time without notice.
• Wyndham may, at its sole discretion, at any time amend, modify or supplement or discontinue any terms and conditions applicable to the Wyndham Rewards Experiences program (including any aspect, content or feature related thereto), and your continued participation will constitute your acceptance of any such amendment, modification, supplementation, or discontinuation.

ALL WYNDHAM REWARDS EXPERIENCES MADE AVAILABLE THROUGH THE WYNDHAM REWARDS EXPERIENCE PROGRAM ARE BEING SOLD "AS IS" WITHOUT WARRANTIES OF ANY KIND, UNLESS EXPRESSLY STATED IN THE ITEM DESCRIPTION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WYNDHAM DISCLAIMS ANY AND ALL SUCH REPRESENTATIONS AND WARRANTIES. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, WYNDHAM DISCLAIMS ANY AND ALL (i) WARRANTIES OF MERCHANTIABILITY OR FITNESS FOR A PARTICULAR PURPOSE, (ii) WARRANTIES AGAINST INFRINGEMENT OF ANY THIRD-PARTY INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS, (II) WARRANTIES RELATING TO DELAYS, INTERRUPTIONS, ERRORS, OR OMISSIONS IN THE REDEMPTIONS OR AUCTIONS OR ANY PART THEREOF (IV) WARRANTIES RELATING TO THE TRANSMISSION OR DELIVERY OF ANY INFORMATION ON THE WEBSITE (V) WARRANTIES RELATING TO THE ACCURACY OR CORRECTNESS OF DATA, AND (VI) WARRANTIES OTHERWISE RELATING TO PERFORMANCE, NONPERFROMANCE OR OTHER ACTS OR OMISSIONS BY WYNDHAM OR ANY THIRD PARTY. WYNDHAM MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, THAT THE INFORMATION PROVIDED THROUGH THE WEBSITE WILL BE FREE FROM ERROR, OMISSION, INTERRUPTION, DEFECT, OR DELAY IN OPERATION. ANY INFORMATION ON THE WEBSITE IS SUBJECT TO CHANGE WITHOUT NOTICE AND WYNDHAM DISCLAIMS ALL RESPONSIBLITY FOR THESE CHANGES, INCLUDING, BUT NOT LIMITED TO CHANGES IN REDEMPTION AMOUNTS AND HOURS OF OPERATION.

All Wyndham Rewards experiences have set dates and cannot be modified or extended for any reason.

Bidding

• When bidding for a Wyndham Rewards experience, you agree that you are making an irrevocable binding offer to purchase the items and that if you are the winning bidder, that your bid is a legally binding agreement to purchase the item.
• All bids are final and must be made in 2,500-point increments.
• If a Wyndham Rewards experience is offered with a Redeem Now designation, there may be a limited number available; therefore, clicking "Redeem Now", does not guarantee that a Member will receive the Wyndham Rewards experience as it is handled based on order of completed submissions as determined by Wyndham or third party service provider. Official time will be determined by Wyndham or third party service provider.
• Each auction will end at the time specified on the detail page, though we reserve the right to close the auction early or later (including, without limitation, the right to extend any auction if we receive a bid within five minutes of the closing time of any auction) or to cancel an auction in its entirety for any reason. Official time will be determined by Wyndham or its third party service provider. We strongly encourage you to manually refresh the detail page when bidding for a Wyndham Rewards experience to ensure you are viewing the most up to date details of each auction.
• Wyndham Rewards points will be deducted automatically from the winning bidder's Wyndham Rewards membership account upon completion of the auction, and the Member will receive notification of the winning bid by email.
• All auction packages for the same event with the same experiences will begin with the same starting bid, and the winning bid of each package is not controlled by Wyndham. Therefore, if a single package is redeemed at a higher amount than another package, a point difference refund will not be granted.

Redemption (Auction or Fixed) & Fulfillment

• Members may only redeem a Wyndham Rewards experience using Wyndham Rewards points. To complete the redemption or to place a bid, the Member (i) must have sufficient Wyndham Rewards points in their account at time of redemption, bid or at auction close; (ii) if they do not have sufficient Wyndham Rewards points to complete the redemption or bid, they have the option to purchase additional Wyndham Rewards points here. Please note that it can take up to 48 hours for Wyndham Rewards points to become available, and Wyndham Rewards experiences cannot be held or guaranteed to be available during this time.
• All redemptions are final. No refunds or substitutions can be made following the redemption.
• A Wyndham Rewards experience is not considered redeemed until the order is complete and confirmation via email is sent.
• The winner of each auction will be determined by Wyndham Rewards or its designee in their sole discretion based upon the highest qualified bid received prior to the final closing time of the auction. In the event that there are multiple Members who each bid an equal number of points as the maximum bid for the same Wyndham Rewards experience and there is no higher bid, then the bid submitted first will be winning bid.
• If a Wyndham Rewards experience redeemed through the Wyndham Rewards Experiences program becomes unavailable, Wyndham Rewards reserves the right in its sole discretion to offer a similar experience (including tickets for the delayed or rescheduled event) or refund the Wyndham Rewards points redeemed by the Member. If any event is canceled for any reason, the remainder of the auction item, if any, will be provided without the schedule event.
• If an auction Item includes participating in a physical event, Wyndham and/or event coordinators reserve the right to decline participation in the event to any winning bidder and guest(s), if applicable, if it is deemed that the individual is unfit, in an unsafe physical condition, acting in an unsafe matter, fails to meet the requirements of that particular component of the event (which may include, without limitation, height/weight restrictions or restrictions based on the health of the participant) or for any other reason as determined by Wyndham and/or the applicable event coordinators in their sole discretion. Wyndham and/or the applicable event coordinators may require winning bidder and guest(s), if applicable, to be examined by a physician or other appropriate medical professional prior to participation in the event activity.
• Any specific concert, sports event, other live event, hotel stay or other activity does not include travel, airfare, meals, transfers, ground transportation, gratuities, or any other expenses unless otherwise specifically listed on the auction listing
• The Winning bidder and guests, if applicable, are responsible for all travel documentation and identification for entry to the applicable destination and event.
• A Wyndham Rewards experience, or components of a Wyndham Rewards experience redeemed, may not be transferred, sold, assigned, re-marketed or otherwise disposed.
• Any attempted or completed transfer, sale or barter of a Wyndham Rewards experience after redemption, including but not limited to hotel stays, event tickets or event access, will be void and the Wyndham Rewards experience will be forfeited without any refund of Wyndham Rewards points to the Member. In addition, Wyndham Rewards may cancel the Member's accumulated points, suspend Wyndham Rewards program benefits, suspend Member Levels membership, or cancel a Member's account at any time with immediate effect and without written notice, in Wyndham Rewards' sole discretion, for any suspected transfer, sale or barter of a Wyndham Rewards Experience or components of a Wyndham Rewards experience.
• In the event a Wyndham Rewards experience is listed at an incorrect redemption amount due to typographical error or with an error in redemption pricing, availability or other information, we have the right to cancel the applicable auction, whether or not the winner has been confirmed or you have been identified as the winning bidder or Wyndham Rewards points have been removed from your account. If Wyndham Rewards points were removed from your account and the auction cancelled, we will refund the Wyndham Rewards points within a commercially reasonable period of time after the auction is cancelled.
• We do not endorse and have not verified the accuracy or reliability of any opinion or statement made on any auction by any third party. Also, we may make changes to information about redemption amount, availability or other product or service attributes without notice.
• Delivery methods may vary by item, type, location and availability. However, it is expected that most, if not all, auction items will be delivered electronically. Unless expressly stated in the auction listing, each winning bidder agrees to pay for shipping, handling and delivery charges in addition to the winning bid amount, and to provide information and cooperation as requested in order to make such delivery. Costs for packaging, shipping and insurance will be added to all invoices. Risk of loss will transfer to the winning bidder upon transfer of the items to a common carrier. Other shipping terms may apply.
• Wyndham is not responsible if an auction cannot take place or If the performance of any service or obligation of Wyndham or any service provider making an item or experience available through the Wyndham Rewards Experiences program, including with respect to any live performance, is prevented, delayed, restricted or interfered with by events or causes beyond their control, including, without limitation, due to travel cancellations, delays or interruptions due to acts of God, riots or protests, acts of war, acts of terrorism or threat of terrorism, natural disasters, public health crises, epidemics, pandemics, travel restrictions, government restrictions or bans, acts of public authorities, or weather. Wyndham Rewards or the applicable service provider shall be excused from the performance to the extent of the prevention, delay, restriction, or interference in the prior sentence. You agree that if any of the foregoing prevent you from participating in a live experience, Wyndham Rewards or the applicable service provider is not obligated to provide or recreate such live experience and Wyndham Rewards reserves the right, at its discretion, to substitute a substantially similar experience or refund amounts of Wyndham Rewards points paid for the auction item.
• To the extent applicable, all federal, state and local taxes are the sole responsibility of the winning bidder.

Member Release

• You grant to Wyndham Rewards, Inc. ("Wyndham") the unrestricted right and permission to photograph you and your guest and to use your names, photographs, images, voice, likenesses, and any comments arising out of the Wyndham Rewards experience, in whole or in part, and to use, edit, present, transmit, and display the same, without restriction as to changes or transformations, in connection with its business, in all forms and media now known or hereafter developed, without payment of royalties.
• You agree to release and hold Wyndham and its subsidiaries, affiliates, officers, directors, agents and employees harmless from and against any claim or cause of action arising out of participating in the Wyndham Rewards Experiences program, any auction, your use or receipt of any item, or your participation in an experience, including, but not limited to: (a) personal injury, property damage or other loss or costs sustained or incurred by the winning bidder and, as applicable, winning bidder's guests or family members; (b) technical errors related to computers, servers, providers, or telephone or network lines; or (c) errors in the administration of any auction.
• You agree to indemnify and hold Wyndham and its subsidiaries, affiliates, officers, directors, agents and employees harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your breach of these Terms and Conditions or your violation of any law or the rights of a third party. Wyndham's failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
• In exchange for the benefits provided to Members by the Wyndham Rewards Experiences program, you knowingly and voluntarily hereby fully release and forever discharge Wyndham, Wyndham Hotels & Resorts, Inc., Points.com Inc., Multiplier Agency, LLC and their past, present, and future employees, officers, directors, shareholders, principals, agents, attorneys, representatives, predecessors, assigns, subsidiaries, divisions, and affiliates (collectively the "Wyndham Parties") from all or any manner of past, present or future rights, claims, demands, and actions, in law or in equity, in tort or in contract, or under any other theory of recovery, of whatever kind or nature, whether known or unknown, whether now existing or hereinafter arising (collectively "Claims") which you ever had, now have, or may have hereafter against the Wyndham Parties, arising out of or relating in any manner to the bidding, purchase of and participation in the Wyndham Rewards Experiences program, regardless of the cause. By purchasing an experience, you further acknowledge that some experiences are arranged for and/or provided by third party vendors and the Wyndham Parties have no direct responsibility for these independent vendors.
• Any disputes arising out of or related to the Wyndham Rewards Experiences program or any auction bid shall be subject to the Wyndham Hotels Terms of Use (Web Services User Agreement) as set forth at https://www.wyndhamhotels.com/content/whg-ecomm-responsive/en-us/whg/about-us/terms-of-use-more-info.html, including, without limitation, that such claims shall be handled individually without any class action, and shall be governed by, construed and enforced in accordance with the laws of the State of New Jersey.
• You agree to our collection, use and sharing of your information, including personal information, as set forth in our Privacy Notice at https://www.wyndhamhotels.com/privacy ("Privacy Notice"), including sharing of information with third parties in connection with Wyndam Rewards Experiences program. All provisions of the Privacy Policy are incorporated by reference herein.
• Wyndham or the third party providing the service or product reserve the right to conduct a background check on the potential winning bidder and if the auction items includes participation by one or more of the winning bidder's guests or family members (the "Additional Persons"), the Additional Persons, and Wyndham reserves the right in its sole discretion to disqualify any potential wining bidder or Additional Persons based on the results of such background check where awarding such item to the winning bidder or the Additional Persons may negatively reflect on Wyndham Rewards, Inc., its affiliates or any third party as determined in Wyndham Rewards, Inc.'s sole discretion. Where required, winning bidder and Additional Persons agree to provide authorization as well as to complete any forms required to facilitate the background check.

General Release

• Wyndham and its affiliates are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, computer or technical failure, or incorrect or inaccurate bidding information howsoever caused or other error of any kind whether human, mechanical or electronic.
• Inclusion of items or experiences that have been provided by an unaffiliated entity does not imply any endorsement, sponsorship, or affiliation between Wyndham and such entity.
• Wyndham, Wyndham Hotels & Resorts, Inc, Points.com, Multiplier Agency, LLC and each of their subsidiaries, affiliates, officers, directors, agents and employees shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or relating in any manner to the bidding, purchase of and participation in the Wyndham Rewards Experiences program, regardless of the cause, all as further subject to the Terms of Use.
• Neither Wyndham nor anyone else involved in creating, producing or delivering the Wyndham Rewards Experiences program, or any item, experience or service related thereto, shall be liable for any direct, indirect, incidental, special, exemplary or consequential damages arising out of any use of the Website, the Wyndham Rewards Experiences program, or any auction or redemption item or experience, or the inability to use the Website, participate in the Wyndham Rewards Experiences program, or claim any auction or redemption item or experience, all as further subject to the Terms of Use.
